In no case shall MediSup, our directors, officers, employees, affiliates, agents, contractors, or suppliers be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind arising from your use of the Service or any products procured using the Service, whether based in contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages.
Liability Cap. To the maximum extent permitted by applicable law, MediSup's total cumulative liability to you for any and all claims arising out of or relating to your use of the Service or any product purchased through the Site shall not exceed the total amount you paid to MediSup for the specific product giving rise to the claim in the six (6) months preceding the event giving rise to liability. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
8. Indemnification
You agree to indemnify, defend, and hold harmless MediSup and our affiliates, partners, officers, directors, agents, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party.
9. Dispute Resolution & Arbitration
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
- Agreement to Arbitrate. You and MediSup agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Service, or any product purchased through the Site.
- Class Action Waiver. You and MediSup agree that any arbitration or proceeding shall be conducted on an individual basis only, and not as a class, collective, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
- Arbitration Rules. Arbitration shall be conducted by a mutually agreed-upon arbitration provider (e.g., the American Arbitration Association) under its applicable consumer arbitration rules, in County/State, unless you and MediSup agree otherwise.
- Opt-Out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to info@medisup.store with the subject line "Arbitration Opt-Out," including your name and order number.
- Severability of This Section. If the class action waiver is found unenforceable, then the entirety of this arbitration section shall be null and void, and the dispute shall be resolved in the courts identified in Section 13 (Governing Law).
Note: Arbitration clauses and class action waivers are not enforceable in all circumstances or jurisdictions. Confirm enforceability with a licensed attorney in your state before relying on this section.
10. Severability
If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be enforceable to the fullest extent permitted by law, and the unenforceable portion shall be severed, with the remaining provisions remaining in full force and effect.
11. Termination
These Terms are effective unless and until terminated by either you or us. We reserve the right to terminate these Terms at any time without notice if you fail to comply with any term or provision.
12. Entire Agreement
These Terms of Service, together with any policies or operating rules posted by us on this Site (including our Privacy Policy and Refund Policy), constitute the entire agreement between you and us.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of United States, without regard to its conflict of law provisions.
